CONTEST OVERVIEW: On The Red Carpet and Rao’s invites fans to share how cooking at home makes every day delicious – for their chance to appear in a sponsored segment that will be exhibited on the social media channels of On the Red Carpet and the social media channels of eight (8) participating ABC local affiliate television stations.

The Submissions (as defined below) will be reviewed and scored by a panel of judges from Administrator to determine up to twenty-five (25)* semi-finalists (“Semi-Finalists”). The Semi-Finalists’ Entries will then be reviewed and scored by another judging panel to determine up to five (5)* finalists (“Finalists”). These Finalists will then participate in a phone/video chat interview with a panel of judges.

There will be one (1) winner (“Winner”) chosen from among the Finalists. The Winner will be included virtually in a sponsored segment that will be exhibited on the social media channels of On the Red Carpet and the social media channels of the eight (8) participating ABC local affiliate television stations.

*In one or more rounds of judging, Sponsors reserve the right to select fewer than the indicated number of Submissions for advancement to the next round of judging, if in the sole discretion of the corresponding judging panel there is not a sufficient number of eligible Submissions of sufficient quality in such round of judging.

By participating in the Contest, you agree to be bound by and abide by these Official Rules (“Official Rules”) and the decisions of Sponsors and Administrator, which are final and binding in all respects and not subject to appeal.

SPONSORS: Rao’s Specialty Foods, Inc. (“Rao’s”), 441 Bloomfield Ave., Montclair, NJ 07042; and American Broadcasting Companies, Inc. (“ABC”), 77 West 66th Street, New York, NY 10023. Rao’s and ABC are collectively referred to herein as the “Sponsor” or “Sponsors.”

ADMINISTRATOR: CSM Sports and Entertainment, Inc., 440 9th Avenue, 17th Floor, New York, NY 10001.

ELIGIBILITY: The Make Every Day More Delicious Contest (the “Contest”) is open only to legal residents living within the Designated Market Area (“DMA”) (i.e., the viewing area) of one of the following eight (8) ABC local affiliate television stations (each, an “Affiliate Station”): WLS-TV/Chicago, WABC-TV/New York, KTRK-TV/Houston, KABC-TV/Los Angeles, WPVI-TV/Philadelphia, WTVD-TV/Raleigh-Durham, KGO-TV/San Francisco and KFSN-TV/Fresno, who are at least 18 years of age (or the age of majority in the jurisdiction of their residence, whichever is older) and who have an active e-mail account and Internet access as of September 19, 2020. For a complete list of states/counties included in each participating Affiliate Station’s respective DMA, visit www.DeliciousWin.com.  Void outside of the DMAs of participating ABC Affiliate Stations listed herein and where prohibited or restricted by law. Employees of Sponsors, CSM Sports and Entertainment, Inc. (“Administrator”), any organizations responsible for sponsoring, fulfilling, administering the Contest or supplying the Grand Prize, and each of their respective parent, subsidiary, related and affiliated companies, and the immediate family and household members of all such foregoing individuals, are not eligible to enter or win. “Immediate family members” shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. “Household members” shall mean people who share the same residence at least three (3) months a year, whether related or not. Potential Grand Prize winner may be required to provide proof of eligibility prior to Grand Prize award.

Entrants may not have been convicted of a felony or a crime of moral turpitude. By entering, each entrant (“Contestant”) understands and agrees that, if selected as a potential Finalist, they will be required to consent to a background check to verify eligibility; and, failure to sign such consents and authorizations and/or to furnish all required information will result in disqualification. In addition, Sponsors reserve the right in its sole discretion, to disqualify any Contestant if the results of such background check reveal that such potential Finalist is not eligible to participate in the Contest or has been convicted of a felony or crime of moral turpitude, as determined by Sponsors in their sole discretion.

CONTEST ENTRY: The Contest submission period begins on or about 12:00:01 a.m. ET on September 20, 2020 and ends at 11:59:59 p.m. ET on September 30, 2020 (“Promotion Period”). Administrator’s computer is the official clock for the Contest. During the Promotion Period, create a video (“Video”) of two (2) minutes or less, consistent with the submission guidelines outlined herein, that answers then question “How cooking at home makes every day delicious?” Then, access the Contest website at www.DeliciousWin.com (the “Website”) and complete the entry form by providing: your full name, e-mail address, and daytime phone number, and submit the Video using the upload instructions for the video. Your “Submission” consists of your Video.

Personal information and Submission must all be completed in the same Internet session.

Incomplete Submissions will not be accepted. To submit your Submission, click the "Submit" button on the entry form. Proof of entering information at the Website is not considered proof of delivery to or receipt by Sponsors of such Submission. Thank You Page merely indicates that your Submission has been received but does not constitute any representation that such Submission is eligible for the Contest.

Once submitted, Submissions cannot be modified by Contestant. Without limiting ABC’s Terms of Use, by submitting a Submission, Contestant gives permission (and warrants and represents that he/she has obtained all rights necessary to give such permission and grant the license herein described, including [as applicable] from the third party videographer and/or other persons depicted/referenced in the Submission, as applicable) to Sponsors and their designees. Contestant hereby grants Sponsors and their designees a royalty-free, irrevocable, perpetual, worldwide, sub-licensable, non-exclusive permission (“License”) to use Contestant's Submission, name, likeness and all other information about the Contestant contained in the Submission on any media and through any means now known or hereafter devised, including without limitation, the World Wide Web, and to otherwise use Contestant's Submission, name, likeness and all other information about Contestant in the Submission, and make derivative works therefrom, without compensation in accordance with the requirements of this Contest and the advertising, promotion, and publicity of the Contest, Sponsors and their designee’s products and services, and otherwise, as stated in these Official Rules (as solely determined by Sponsors and their designees) such License will be confirmed by potential winner upon Sponsors’ request and potential winner agrees to timely complete, sign and deliver any and all necessary documents, including without limitation, documents setting forth any licenses, releases and indemnities that Sponsors in their sole discretion may require, without condition or compensation of any kind. Sponsors’ failure to receive all documentation from all individuals within the prescribed timeframe, in each instance as required by Sponsors in their sole discretion, will result in the disqualification of the entry and the selection of another entry as a potential winner.

Limit one (1) entry/Submission per person during the Promotion Period, regardless of the number of email addresses or accounts a person may have.

Multiple entries in excess of this limitation or mass entry attempts may result in disqualification of all entries by such person. Entries must be manually key-stroked by the Contestant; use of automated entry devices or programs, or entries by third parties, are prohibited. Incomplete entries will be disqualified. Personal information collected in connection with this Contest will be treated in accordance with ABC’s Privacy Policy, available at https://privacy.thewaltdisneycompany.com/en/.

If for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures beyond Sponsors’ control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsors reserve the right, in their sole discretion, to disqualify any individual who tampers with the entry process, and to terminate, modify or suspend the Contest. In such event, Sponsors reserve the right to conduct the Contest and award the Grand Prize described herein comprised of all eligible Entries received prior to and/or after (as appropriate) the action taken by Sponsors or otherwise award the Grand Prize in a manner which is fair, appropriate and consistent with these Official Rules, or to terminate the Contest and not award the Grand Prize, as determined by Sponsors in their sole discretion. Notice of termination/modification/suspension of Contest will be posted on the Website. Without limitation of any other term here, Sponsors and their agencies are not responsible for failed, partial or garbled computer transmissions, technical failures of any kind (including but not limited to electronic malfunction or damage of any network, hardware or software), any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or loss, destruction or unauthorized access to, or alteration of, Entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to Contestant’s or any other person’s computer related to or resulting from participation in this Contest.

Contestants further agree not to knowingly damage or cause interruption of the Contest and/or prevent others from participating in the Contest. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSORS MAY DISQUALIFY ANY CONTESTANT MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

SUBMISSION GUIDELINES. All Submissions must follow and meet these guidelines:

  • Video file attachment should not be no longer than two (2) minutes in length. and in one of the following formats: MOV, AVI, MP4, MPEG/MPG. M4V or WMV. Total file size must be no larger than 500MB. Video resolution must be no lower than 400x300px. If a Video exceeds two (2) minutes in total length, Sponsors reserves the right, in their sole discretion, to either disqualify the Submission or to only watch and judge the first two (2) minutes of the Video.
  • Submission must be truthful and accurate, created for the sole purpose of this Contest by the person submitting it.
  • Submission must not contain any music.
  • Submissions must not contain content, image(s) or material that violates or infringes any third party rights of any kind, including without limitation, any third party privacy, publicity, trade secret and/or intellectual property rights, including third party registered and/or common law copyrights and trademarks;
  • Submissions must not disparage Sponsors, Administrator, any other person or entity affiliated with the Contest or products, services or entities that are competitive with any of the foregoing;
  • Submissions must not violate or infringe any right of any third party, including but not limited to intellectual property rights, such as but not limited to rights of copyright, trademark or patent, or rights of publicity or privacy.
  • Submissions must be appropriate for viewing by all audiences.
  • Submissions must not contain content, images, artwork or other creative elements not created by and original to Contestant;
  • Submissions must not contain content, images or other material that is misleading, inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libelous, including nudity or animal cruelty, all in the sole discretion of Sponsor;
  • Submissions must not contain content, images or other material that reflects, advocates or promotes bigotry, racism, hatred, harm or exploitation of or against any class, group or individual, discrimination based on race, gender, religion, nationality, disability, sexual orientation or age, or actions or activities that are restricted, prohibited, illegal or unlawful (including without limitation, the consumption of alcohol or any other controlled substances);
  • Submissions must not contain content, images or other material that is unlawful or in violation of or contrary to any applicable federal or state laws or regulations;
  • Submissions must not have been previously submitted in a promotion of any kind, or published, posted, exhibited or displayed publicly for commercial use by any means and in any form or media.
  • Submissions must not contain executable programming of any kind, including without limitation, viruses, worms, Trojan horses, spyware, malware, time bombs, Easter eggs, cancel bots or any kind of malicious or benign computer programming whatsoever; and
  • Submissions must not contain encrypted content of any kind, including without limitation, encoded messages.
  • In the event Submissions include the name, voice or likeness of anyone besides the submitting Contestant, Contestant represents and warrants that all such persons have provided their full and complete permission to be included in the Submission, and that any such persons are not under any contract that would limit their right to be in the Submission and/or limit the right of Sponsor to use the Submission for the purposes set forth in these rules, including the right to prohibit Sponsor from using, royalty-free, the Submission worldwide in all media in perpetuity.

BY ENTERING, YOU REPRESENT YOUR SUBMISSION REPRESENTS SOLELY YOUR VIEWS/OPINIONS AND DOES NOT REFLECT THE VIEWS/OPINIONS OF SPONSORS IN ANY MANNER. SPONSORS EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY IN CONJUNCTION WITH SUCH POSTED VIDEOS.

  • JUDGING #1 (Finalist Determination/Notification): Eligible Submissions will be initially judged on a rolling basis by a panel of judges comprised by the Administrator (“Administrator Judges”). For this first stage of judging, the Administrator Judges will review each of the Submissions (i.e., each Video) and select up to twenty-five (25) Semi-Finalists. The scoring by the Administrator Judges of each element will be based on criteria below, each judged on a scale of 1-10 (10 being the highest), for a maximum of forty (40) points, as follows:

    • Creativity. How well did the Contestant demonstrate creativity in their Submission?

    • Relation to theme. How well does the Contestant’s Submission demonstrate how cooking at home makes every day delicious?

    • Technical Merit. How well did the Contestant demonstrate creativity in their Submission?

    • Promotional Use. Suitability of Submission for promotional purposes.

    When the total scores are tabulated by the Administrator Judges, the top Entries will advance to the next phase of judging. Administrator Judges reserve the right to advance fewer than twenty-five (25) Semi-Finalists’ Entries to the next stage if, in their sole discretion, they do not receive a sufficient number of eligible Entries of sufficient quality. The up to top twenty-five (25) Semi-Finalists’ Entries will then be judged by another judging panel from Sponsors, who will select the top five (5) Finalists based on the judging criteria listed above. For the avoidance of doubt, the ranking of Semi-Finalists by the first Administrator Judges will not be taken into account by the second judging panel from Sponsors (“Sponsors’ Judging Panel”) evaluation of the approximately top twenty-five (25) Semi-Finalists’ Entries. The five (5) Contestants with the highest final scores from the Sponsors’ Judging Panel will be deemed potential Finalists. In the event of a tie in either round of judging, the tie will be broken in favor of the Contestant with the higher “How well does the Contestant’s Submission demonstrate how cooking at home makes every day delicious?” criterion among the tied Contestants; such Contestant will then advance to the next round of the judging or be a Finalist (as applicable). Sponsor reserves the right to advance any Submissions that do not have a total score of at least 25 points, regardless of number of Semi-Finalists listed.

    For the avoidance of doubt, if an Entry is selected as one of the Semi-Finalists but NOT as a Finalist, the Contestant will NOT receive any prize.

    Each potential Finalist will be contacted by email and or phone using the information contained in the Entry Form, on or about October 2, 2020. Failure to respond to the initial verification notice within seventy-two (72) hours after notification or at reply as undeliverable after two (2) attempts will result in disqualification. Potential Finalists will be required to sign and return, within seventy-two (72) hours of notification (or such time period as indicated thereon), a Declaration or Affidavit of Eligibility (collectively, “Affidavit”) at Sponsors’ option, Liability Release and Indemnification, a Publicity Release where allowed by law, the necessary paperwork for a background check, as well as any release(s) from person(s) who appear in or were involved in the creation of the Submission (if applicable) (collectively, (“Contest Documents”). Affidavit will also include a Grant of Rights from potential Finalists to Sponsors, as detailed above. If the Affidavit of Eligibility, Liability Release and Indemnification, and Publicity Release, or any other portions of the Contest Documents are not returned to Sponsors within the specified time period, the potential Finalist may be disqualified. If a potential Finalist is disqualified for any reason, there will be no prize of any kind awarded and an alternate Finalist may be selected (time permitting), i.e., the Contestant with the next highest score from the immediately preceding judging round. The process will continue until such time that at least five (5) Finalists have been verified to participate in the interview process (time permitting).

    In the event of any dispute concerning the identity of any Contestant, the entry will be deemed submitted by the natural person who is the authorized holder of the transmitting e-mail account. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

    • Judging #2 (CONTEST Winner Determination/Notification):Each Finalist will then have a phone/video chat interview with designated representatives of Sponsors (but not necessarily same judges involved in the prior round(s) of judging) on or about October 7, 2020. The phone/video chat interview will last for approximately twenty (20) minutes, with the Finalist being asked approximately three to five (3-5) questions regarding the inspiration for his/her Entry. While the specific questions asked of Finalists may differ, all interviewers will select questions from the same list. The Finalists interviews’ will be judged based on the following equally weighted criteria: (a) originality and quality of responses to questions asked, (b) how personable Finalist appears to be, and (c) how articulate the Finalist’s responses were to questions asked. (The ranking of the Finalists by Sponsors’ Judging Panel will not be taken into account in the evaluation of Finalists’ interviews). The Finalist with the highest final point score will be deemed the Contest Winner. In the event of a tie, the Finalist from among all such tied Finalists with the higher/highest score in the “originality and quality of responses to questions asked” criterion will be deemed the Winner. Finalists must be available for phone interview at a date and time (during the above-indicated period) of Sponsors’ choosing. Finalist CANNOT appoint a third-party proxy to participate in the phone interview on his/her behalf. Finalist represents and warrants that he/she will answer interviewer’s questions in a truthful and forthright manner to the best of his/her knowledge, belief and ability, as well as to act in a respectful, courteous and polite manner toward the interviewer. Except where prohibited, Sponsors reserve the right, without additional notice, to record the interview for internal judging purposes as well as for possible use in advertising and publicity for this Contest and Sponsors generally. If Finalist is unable to participate in phone interview at designated time for any reason, Finalist may be disqualified and an alternate Finalist may be chosen as per above, time permitting and otherwise in Sponsors’ sole discretion. Winner will be notified of results by e-mail and/or phone on or about October 9, 2020.

    Additional terms and conditions may apply to interviews, which will be provided at the time of Sponsors’ request for same. Such additional terms and conditions are made a part of these Official Rules and incorporated herein by reference; in the event of any inconsistency between these Official Rules and the additional terms and conditions, the additional terms and conditions prevail, govern and control only with respect to the conduct of interviews and, in all other regards, these Official Rules will prevail, govern and control.

    • Prizes/Approximate Retail Values (“ARV”):

Finalist Prize (five (5) Finalist Prize winners): Each Finalist will receive one (1) Rao’s Deluxe Collection consisting of: one (1) 24 oz. jar of Rao’s Marinara Sauce, one (1) 24 oz. jar of Rao’s Arrabbiata Sauce, one (1) 24 oz. jar of Rao’s Vodka Sauce, one (1) 13 oz. jar of Rao’s Pizza Sauce, a collection of pasta (exact types to be determined by Sponsors at their sole discretion), one (1) Rao’s jar opener, one (1) 12 oz. jar of Rao’s Roasted Peppers with Raisins & Pine Nuts and one (1) 12 oz. jar of Rao’s Roasted Peppers with Portobello Mushrooms. ARV of each Finalist Prize is $125.00.

Grand Prize (one (1) Grand Prize winner): Grand Prize Winner will earn the right to be included in a sponsored promotional segment (“Segment”) that will be exhibited on the social media channels of On the Red Carpet and the social media channels of the eight (8) Affiliate Stations above (exact channels to be determined by Sponsors at their sole discretion) on or about Saturday, October 17, 2020. Segment will include a virtual dinner for Winner and his/her family/household members, if applicable (up to five (5) other persons) with Eric Stonestreet (the “Virtual Dinner”). Grand Prize Winner will also receive one (1) Rao’s Superior Collection consisting of: one (1) 24 oz. jar of Rao’s Marinara Sauce, one (1) 24 oz. jar of Rao’s Arrabbiata Sauce, one (1) 24 oz. jar of Rao’s Vodka Sauce, one (1) 24 oz. jar of Rao’s Roasted Garlic Sauce, one (1) 13 oz. jar of Rao’s Pizza Sauce, one (1) 6.7oz. jar of Rao’s Basil Pesto, one (1) 6.7 oz. jar of Rao’s Sundried Tomato Pesto, a collection of pasta (including Fusilli, Linguine, Penne, and Spaghetti), one (1) jar of Rao’s Pasta & Fagioli soup, one (1) jar Rao’s of Vegetable Minestrone soup), one (1) jar of Rao’s Italian Wedding soup, one (1) Rao’s jar opener, one (1) Rao’s apron, one (1) 12 oz. jar of Rao’s Roasted Peppers with Raisins & Pine Nuts and one (1) 12 oz. jar of Rao’s Roasted Peppers with Portobello Mushrooms. ARV of Grand Prize is $200.00. There is no retail value associated with participation in the Segment.

In the event the Segment, including without limitation Virtual Dinner, cannot be completed for any reason, including for reasons of the pandemic, technical difficulties or any other reason, Grand Prize Winner shall be entitled to a prize of equal or greater retail value, at Sponsor’s sole and exclusive discretion. Virtual Dinner may only include food and non-alcoholic beverages that are edible and may be consumed in accordance with health standards and applicable law.

Sponsors will record the Virtual Dinner and will, subject to the terms herein, use the recording in the Segment as well as for other commercial, advertising and promotional purposes without further notification or compensation to winner and/or his/her family/ household members.

Sponsors will attempt to provide Winner with reasonable notice in advance of Virtual Dinner, but Winner may be required to accept Virtual Dinner with as little as two (2) days advanced notice. All details and instructions as to the Virtual Dinner will be provided to Grand Prize Winner at time of winner notification.

As a condition for Virtual Dinner to be awarded, Winner and any household members, if applicable (and, if a minor in their jurisdiction of residence, their parent or legal guardian) must sign and return the provided Release.

Sponsors make no representation or warranty that Virtual Dinner will be included for a minimum amount of time in Segment or when during the Segment footage of the Virtual Dinner will be included.

Any and all aspects of Segment shall be determined by Sponsors in their sole discretion without review, approval or notice of any kind to winner or his/her family; the preceding includes how virtual dinner is included in Segment. ABC shall have complete creative control and full ownership rights as to Segment. Upon request and without compensation (other than the aforementioned Finalist Prize for the winner), Winner and household members, if applicable (and, if a minor in their jurisdiction of residence, their parent or legal guardian) agree to sign any and all additional Releases confirming ABC’s ownership rights in Segment.

Sponsors may, but are not obligated to, identify Winner and/or his/her household members, if applicable, in the Segment. If Sponsors choose to do so, any and all aspects of such attribution (including the content and format of the attribution as well as how the Winner and his/her household members are identified therein) shall be determined by the Sponsors in their sole discretion. Winner and his/her household members, if applicable, shall have no right of review, notice or approval as to any such attribution.

Winner and his/her household members, if applicable, will NOT receive any payment, royalty, compensation or other consideration (other than the aforementioned Finalist Prize for the winner) in conjunction with the Segment.

Sponsors shall have no liability to winner and/or his/her household members, if applicable (other than the aforementioned Finalist Prize for the winner) if Sponsors refrains from airing the Virtual Dinner in the Segment or the Segment altogether for any reason.

Participation of Eric Stonestreet is offered subject to his availability. Sponsors make no representation or warranty that Eric Stonestreet will participate in the Virtual Dinner for a minimum amount of time.

Winner and his/her household members, if applicable, must act in an appropriate and well-behaved manner at all times.

By way of example only and without limitation of any kind, winner and his/her household members, if applicable: (a) must wear appropriate attire at all times during virtual dinner (no partial or full nudity) and NOT make any lewd or sexually suggestive gestures or comments during Virtual Dinner; (b) NOT smoke or chew tobacco, consume or be under the influence of alcohol beverages or drugs during virtual dinner; (c) NOT engage in any act that is offensive or threatening to any person be it based on religion, ethnicity, race, sexual identification/orientation, gender, national origin/heritage, citizenship status or any other legally protected class; AND (d) NOT engage in any act which otherwise reflects poorly on the Sponsors or their respective goods/services or Eric Stonestreet personally during Virtual Dinner, including insulting, defaming or embarrassing Eric Stonestreet in any way. In the event of termination of the Virtual Dinner due to Winner’s or their guests’ conduct pursuant to this subsection, the Winner will forfeit the corresponding the Grand Prize as well as the Finalist Prize, with Sponsors having no liability in conjunction therewith under any legal theory.

Winner and his/her household members, if applicable, will be solely responsible for any and all costs of hardware, software, network and other equipment needed to accept Virtual Dinner.
The exact method and context of incorporation and the duration of Segment shall be at Sponsors’ sole discretion. Sponsors reserve the right, in its sole discretion, to include, in whole or in part, the winning Submission in the Segment, though Sponsors are under no obligation to do so. Without limiting the foregoing, Grand Prize Winner shall have NO right of review or approval of their Submission as it appears in the Segment. Each Contestant acknowledges and agrees that the Submission as included in the Segment may be modified from the Submission submitted by the Contestant. Such modifications may occur in Sponsors’ sole discretion and for any reason including, without limitation, as a result of production needs, creative preferences, formatting requirements or advertising standards requirements. In addition, Contestants acknowledge and agree that the Submission may include messaging from Sponsors’ products (including without limitation, Rao’s).

Conditions and Limitations of Liability: By participating, each Contestant agrees: (a) to be bound by these Official Rules and the decisions of Sponsors and Administrator, which shall be final and binding in all respects; and (b) to release, discharge and hold harmless Sponsors, Administrator, Facebook, Inc., Twitter, Inc., Mr. Eric Stonestreet personally, each of their respective advertising and promotion agencies and Grand Prize suppliers, any entity responsible for the administration of this Contest, each of the foregoing entities’ respective parent, subsidiary, related, affiliated and successor companies, and each of their respective officers, directors, agents, representatives and employees (collectively, the “Released Parties”) from any and all actions, claims, injury, loss or damage, including, without limitation, death and bodily injury, arising in any manner, directly or indirectly, in whole or in part, from participation in this Contest or any Contest-related activity (including without limitation, any travel related thereto), and/or from Contestant’s acceptance, receipt, use or misuse of the Grand Prize or component thereof (including without limitation, any failure to pay taxes thereon).

By accepting the a prize, prize winners grant Sponsors and their designees permission to use his/her name, voice, likeness, photograph, Grand Prize information, biographical data and city and state of residence on a winner’s list (if applicable) and for programming, publicity and promotional purposes, worldwide in all forms of media now known or hereafter developed, in perpetuity, without further compensation unless prohibited by law. Sponsors and their designees are not obligated to use any of the above-mentioned information or materials but may do so and may edit such information or materials, at Sponsors’ discretion, without further obligation or compensation. Contest subject to the laws of the United States only. All federal, state and local laws and regulations apply. All Submissions become the property of Sponsors and will not be acknowledged.

Disputes: Arbitration/Choice Of Law:Except where prohibited, Contestants agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Contest, or the awarding of prizes/determination of prize winners, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the Rules of JAMS, then effective (notwithstanding the foregoing, Contestant shall not be precluded from seeking relief in small claims court for disputes/claims within the scope of the jurisdiction of small claims court and any remedies available to Contestant under applicable federal, state or local law remain available to Contestant and are not waived pursuant to this section); (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest but in no event attorneys’ fees; and (c) under no circumstances will Contestant be permitted to obtain awards for and Contestant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased and any and all rights to injunctive relief. The arbitrator hearing such dispute/claim/cause of action shall be neutral and the Contestant will have a reasonable opportunity to participate in the selection of the arbitrator. Such arbitration will take place at a location near the Contestant’s residence and the Contestant has the right to an in-person hearing in the arbitration proceeding, if desired. The arbitration will allow for the discovery and/or exchange of non-privileged information between Contestant and Sponsors. Should a Contestant initiate arbitration pursuant to this section, the Contestant shall be responsible for JAMS’s fees to do so (approximately, $250), with all other costs of such arbitration being borne solely by Sponsors. If Contestant is a California resident and Sponsors is the prevailing party in such arbitration, such Contestant will not be responsible for Sponsors’ costs and fees in conjunction with the arbitration proceeding; BUT, IN ALL OTHER CASES, CONTESTANT WILL BE RESPONSIBLE FOR SUCH COSTS/FEES IF REQUIRED BY THE ARBITRATOR’S RULING. For the avoidance of doubt, the requirement to arbitrate disputes pursuant to this section is reciprocal and binding both upon Contestants and Sponsors. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Contestant and/or Released Parties in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of New York, without regard for conflicts of law doctrine of New York or any other jurisdiction and all proceedings shall take place in the City of New York, County of New York.
